Acceptance of Terms

By downloading, installing, or using the OnePlace Delivery mobile and web application (the "App") operated by XQ Tech Solutions ("we," "our," or "us"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, do not use the App.

Description of Service

OnePlace Delivery is a delivery service application connecting customers with local stores for grocery delivery (and, in upcoming releases, food, medicine, and other categories) within a 15 km radius of Kozhinjampara, Palakkad, Kerala.

  • Currently Live: Grocery delivery (vegetables, fruits, daily essentials, household items)
  • Coming Soon: Food delivery, medicine delivery, and other everyday categories

Service Area

  • OnePlace Delivery currently serves a 15 km radius from Kozhinjampara, Palakkad
  • This includes RV Pudur, Nattukal, Chittur, and surrounding villages
  • Service availability at your specific address depends on store and delivery partner availability
  • We reserve the right to expand or restrict the service area without prior notice

User Accounts

Registration

  • You must create an account to place orders
  • You must provide accurate, complete, and up-to-date information
  • You must be at least 18 years old, or have parental consent if 13–17
  • You are responsible for keeping your account credentials secure
  • Notify us immediately of any unauthorized access

Account Termination

  • You may close your account at any time via the App or our Delete Account page
  • We may suspend or terminate accounts that violate these Terms

Orders, Pricing, and Payment

Orders

  • All orders are subject to acceptance and product availability at the partner store
  • We reserve the right to refuse or cancel orders for reasons including suspected fraud, pricing errors, or unavailability
  • Order confirmation does not guarantee delivery if items become unavailable

Pricing

  • Product prices are set by partner stores and may change without notice
  • Prices include applicable taxes (GST as per Indian law)
  • Delivery fees vary by distance, order value, and time, and will be shown before checkout
  • We may run promotions, discounts, or coupons subject to specific terms displayed at the time of offer

Payment

  • Payments accepted: UPI, debit/credit cards, net banking, and cash on delivery (where available)
  • All online payments are processed by secure third-party gateways
  • We do not store full card details on our servers

Delivery

  • Estimated delivery times shown in the App are approximate and not guaranteed
  • Delivery may be delayed by factors beyond our control (weather, traffic, holidays, store delays)
  • Customers must be available at the delivery address or arrange a representative to receive the order
  • Failed deliveries due to customer unavailability may incur additional charges or order cancellation
  • Perishable items must be inspected at delivery; complaints regarding quality must be raised within 24 hours

Cancellations, Returns and Refunds

Cancellations

  • You may cancel an order before it is dispatched without charge
  • Cancellations after dispatch may incur a fee or be non-refundable depending on the items

Returns and Refunds

  • Damaged, missing, or wrong items reported within 24 hours of delivery are eligible for refund or replacement
  • Perishable groceries (vegetables, fruits, dairy) must be inspected at the time of delivery
  • Refunds are credited to the original payment method within 5–10 business days
  • For medicines (when launched), specific return rules apply per Indian pharmacy regulations

Acceptable Use

You agree not to:

  • Use the App for any illegal, fraudulent, or unauthorized purpose
  • Place fake or fraudulent orders
  • Misuse refund or cancellation policies
  • Harass, abuse, or threaten our staff, partner stores, or delivery partners
  • Attempt to gain unauthorized access to the App or its systems
  • Interfere with App functionality (e.g., scraping, bots, denial of service)
  • Upload malicious code or harmful data

Restricted Items

  • We do not sell or deliver alcohol, tobacco products, or other restricted goods unless explicitly listed and licensed
  • Prescription medicines (when the medicine category launches) will require valid prescriptions as per Indian pharmacy laws

Intellectual Property

  • The App, its design, code, logos, and content are the intellectual property of XQ Tech Solutions
  • You are granted a limited, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes
  • You may not copy, modify, distribute, or create derivative works

Service Availability

  • We strive to maintain App availability but do not guarantee uninterrupted service
  • The App may be unavailable for maintenance, updates, or due to technical issues
  • We are not liable for losses arising from temporary service interruption

Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, express or implied, including:

  • Quality, freshness, or suitability of products supplied by partner stores
  • Accuracy of estimated delivery times or product prices
  • Uninterrupted, error-free service

Limitation of Liability

To the maximum extent permitted by Indian law:

  • XQ Tech Solutions shall not be liable for indirect, incidental, special, consequential, or punitive damages
  • Our total liability for any claim shall not exceed the value of the specific order in question or INR 1,000, whichever is higher
  • We are not liable for the actions, omissions, product quality, or service of partner stores or delivery partners beyond reasonable mediation

Indemnification

You agree to indemnify and hold harmless XQ Tech Solutions, its officers, directors, employees, and partners from any claims, damages, losses, or legal fees arising from:

  • Your use or misuse of the App
  • Your violation of these Terms
  • Your violation of any applicable law or third-party rights

Changes to Terms

We may modify these Terms at any time. Changes will be communicated by:

  • Posting updated Terms in the App and website
  • Updating the "Last Updated" date
  • Notifying users of significant changes via email or in-app notification

Continued use of the App after changes constitutes acceptance of the updated Terms.

Governing Law and Disputes

  • These Terms are governed by the laws of India
  • Disputes shall be subject to the exclusive jurisdiction of the courts in Palakkad, Kerala, India
  • Parties agree to attempt good-faith negotiation before initiating legal proceedings
  • Consumer disputes may also be raised under the Consumer Protection Act, 2019

Severability

If any provision of these Terms is found unenforceable, that provision shall be limited to the minimum extent necessary, and the remaining provisions shall remain in full force.
